Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the Elevator Intelligence website, software platform, and related subscription services (collectively, the “Service”) offered by Elevator Intelligence LLC (“Elevator Intelligence,” “we,” “us,” or “our”). Elevator Intelligence is a Nevada limited liability company, Entity ID E46874892025-5. Its public brand name is Elevator Intelligence.

By creating an account, starting a subscription, or using the Service, the person or organization accepting these Terms (“Customer,” “you,” or “your”) agrees to them. If you do not agree, do not use the Service.

1. The Service

The Service is a subscription B2B SaaS platform for the elevator industry. It may provide, among other features:

  • plain-language, cited, edition-aware code compliance assistance across ASME A17.1–A17.8, NFPA 70, ADA, ICC, and state administrative codes;
  • elevator specifications generated from building type, occupancy, floors, and jurisdiction;
  • project cost estimates;
  • AI-assisted proposals for installations, modernizations, and service contracts;
  • bid comparison and ranking; and
  • project and compliance timeline tracking, including permit and inspection scheduling.

The Service is currently offered in Nevada and may be expanded nationally. Available features, coverage, editions, jurisdictions, and subscription plans may change over time.

2. Acceptance, Eligibility, and Authority

You may use the Service only for legitimate business or professional purposes. You represent and warrant that:

  • you are at least 18 years old;
  • you have the legal capacity to enter into these Terms; and
  • if you use the Service for a company, government agency, or other organization, you have authority to bind that organization, and “you” includes that organization.

The Service is intended for certified elevator inspectors, jurisdiction officials, building owners, contractors, consultants, engineers, and other qualified business users. It is not intended for consumer or personal use.

3. Account Registration and Security

You must provide accurate, current account information and keep it updated. You are responsible for all activity under your account, including activity by authorized users associated with your organization.

You must keep your login credentials confidential and promptly notify us at hzammam@aiainspection.com if you suspect unauthorized access or use. We may suspend or protect an account where we reasonably believe its security has been compromised.

4. Subscription Plans, Billing, and Renewal

4.1 Subscription terms

The Service may be offered on monthly and annual subscription plans. Your plan, access level, and billing period will be presented when you subscribe or in a separate order form or written agreement, if applicable.

4.2 Billing authorization and automatic renewal

By purchasing a subscription, you authorize Elevator Intelligence and its third-party payment processor, Stripe, to charge the payment method you provide for the recurring subscription fees, applicable taxes, and other authorized charges for each billing period.

Unless you cancel in accordance with our Cancellation Policy, subscriptions automatically renew at the end of each monthly or annual billing period for a new term of the same length. Cancellation prevents future renewal charges; it does not ordinarily end paid access before the current paid period ends.

4.3 Failed payments

If a charge fails or is reversed, we may retry the payment method, ask you to update payment information, and suspend or limit access until amounts due are paid. You remain responsible for amounts due for the applicable subscription term, subject to the Refund & Dispute Policy.

4.4 Price changes

We may change subscription prices for a future renewal term. We will give advance notice by email or through the Service before the new price takes effect. If you do not agree to the new price, you may cancel before renewal under the Cancellation Policy.

4.5 Taxes

Fees do not include taxes unless stated otherwise. You are responsible for applicable sales, use, value-added, or similar taxes, excluding taxes based on Elevator Intelligence’s net income.

5. Acceptable Use

You may use the Service only as permitted by these Terms and applicable law. You must not, and must not allow any user to:

  • use the Service for unlawful, fraudulent, deceptive, or harmful conduct;
  • submit information you do not have the right to submit or that violates another person’s privacy, intellectual-property, or other rights;
  • access, probe, disrupt, or interfere with the Service, its security, or another user’s account;
  • bypass access controls, rate limits, or technical safeguards;
  • reverse engineer, decompile, disassemble, copy, modify, or create derivative works of the Service, except where applicable law prohibits that restriction;
  • use automated tools to extract, reproduce, or republish substantial portions of the Service or its content without our written permission;
  • use the Service to develop, train, validate, or improve a competing product or service;
  • represent an AI-generated result as an official code interpretation, inspection, approval, certification, engineering determination, or authority having jurisdiction (“AHJ”) decision; or
  • use the Service in a way that could reasonably create a safety risk or cause a person to rely on it as the sole basis for an inspection, signoff, code-compliance, or safety decision.

We may investigate violations and suspend or terminate access as described in these Terms.

6. Intellectual Property and Customer License

As between you and Elevator Intelligence, Elevator Intelligence and its licensors retain all rights, title, and interest in the Service, including its software, interfaces, workflows, documentation, compiled content, and all related intellectual property.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during your subscription term to access and use the Service for your internal business or professional purposes.

You may provide feedback or suggestions about the Service. We may use that feedback without restriction or obligation, provided we do not identify you publicly without your permission.

7. Customer Data

Customer Data means data, documents, text, images, specifications, bid packages, project details, prompts, and other content that you or your authorized users submit to the Service.

You retain ownership of Customer Data. You grant Elevator Intelligence a non-exclusive, worldwide, limited right to host, process, reproduce, and transmit Customer Data only as necessary to operate, secure, support, and improve the Service; provide requested features; comply with law; and enforce these Terms.

You are responsible for Customer Data and for obtaining all rights, permissions, and notices required to submit it to the Service. You must not submit confidential or regulated information unless you have determined that the Service is appropriate for that information and you are authorized to do so.

8. AI-Assisted Output

Some Service features use artificial intelligence to generate, summarize, compare, rank, estimate, or otherwise assist with outputs. AI-generated output can be incomplete, inaccurate, outdated, unsuitable for a specific jurisdiction or project, or based on an incorrect interpretation of your input.

You must independently review and validate all output before using it. You are responsible for the inputs you provide, the decisions you make, and the use or distribution of any output. Elevator Intelligence does not guarantee that AI output is unique, error-free, complete, current, or appropriate for a particular purpose.

9. Third-Party Code and Standards Disclaimer

The Service may surface references, citations, summaries, or edition-aware information relating to standards, model codes, laws, or regulations, including ASME A17.1–A17.8, NFPA 70, ADA, ICC materials, and state administrative codes.

Elevator Intelligence is not affiliated with, endorsed by, sponsored by, authorized by, or licensed by ASME, NFPA, ICC, or any other standards body, code publisher, regulator, or AHJ. References to those organizations or materials are for identification and informational purposes only. Their names, marks, codes, standards, and published materials remain the property of their respective owners.

The Service is not an official publication or authoritative source of any code or standard. You must consult the official, legally applicable published edition and any local amendments, administrative rules, and AHJ guidance before acting. A citation or result in the Service does not establish that a provision applies, is current, is complete, or has been adopted in a particular jurisdiction.

10. Professional Responsibility Disclaimer

The Service and all output are informational decision-support tools only. They are not a substitute for the independent professional judgment of a licensed inspector, engineer, architect, contractor, or AHJ.

You and your organization remain solely responsible for code compliance, project specifications, inspections, permits, field conditions, approvals, signoffs, safety determinations, engineering determinations, construction decisions, and compliance with applicable laws and standards. Do not use the Service as the sole basis for any safety-critical, legal, regulatory, inspection, certification, or approval decision.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ELEVATOR INTELLIGENCE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.

We do not warrant that the Service, any citation, any code-related information, AI output, estimate, ranking, timeline, or other content will be accurate, complete, current, suitable, accepted by an AHJ, or free from errors or omissions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEVATOR INTELLIGENCE, ITS MANAGING MEMBER, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ELEVATOR INTELLIGENCE ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO ELEVATOR INTELLIGENCE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations. In that case, the above provisions apply only to the extent permitted by law.

13. Indemnification

You will defend, indemnify, and hold harmless Elevator Intelligence, its Managing Member, affiliates, licensors, and service providers from and against claims, liabilities, damages, losses, and reasonable costs and expenses (including reasonable attorneys’ fees) arising from or related to: (a) Customer Data; (b) your or your users’ use of the Service in violation of these Terms or law; (c) your reliance on or use of Service output; or (d) your code-compliance, inspection, signoff, safety, permitting, or project decisions.

We will provide prompt notice of a claim, allow you reasonable control of the defense and settlement, and reasonably cooperate at your expense. You may not settle a claim in a way that admits fault by or imposes obligations on Elevator Intelligence without our written consent.

14. Suspension and Termination

You may cancel your subscription as described in the Cancellation Policy. We may suspend or terminate your access immediately if we reasonably believe you have failed to pay amounts due, violated these Terms, created a security risk, or used the Service in a way that may harm Elevator Intelligence, users, or others.

Upon termination or expiration, your right to use the Service ends. Sections that by their nature should survive will survive, including Sections 6 through 13, 15, and 16. Customer Data handling after cancellation is described in the Cancellation Policy and Privacy Policy.

15. Disputes, Governing Law, and Venue

Before filing a claim, the parties agree to try in good faith to resolve the dispute by written notice sent to the contact information below. The notice must describe the issue and requested relief. If not resolved within 30 days, either party may pursue available legal remedies.

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws principles. Any action or proceeding arising from or related to these Terms or the Service must be brought exclusively in the state or federal courts located in Clark County, Nevada, and each party consents to the personal jurisdiction and venue of those courts.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide reasonable notice by email, through the Service, or by posting the updated Terms with a new Last Updated date. Changes apply prospectively from their effective date. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, you must stop using the Service and cancel before the change takes effect where applicable.

17. General

These Terms, together with any applicable order form and the policies linked below, are the complete agreement between you and Elevator Intelligence about the Service. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
